Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sellup.io (the "Platform", "we", "us"), a hosted software service that lets you create an online storefront and sell digital products. By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. What Sellup.io provides
Sellup.io is storefront software. We give you tools to build a store, list digital products such as serial keys, downloadable files and digital services, and connect your own payment providers to accept payments from your customers. We charge 0% transaction fees on your sales. An optional paid Premium plan unlocks additional features, described in Section 6.
2. Eligibility and accounts
- You must be at least 18 years old and able to enter a binding contract.
- You are responsible for your account, your login credentials, and all activity under your account.
- You must give accurate information and keep it up to date. We may suspend or close accounts that provide false information.
- We offer login via email, Google and Discord. You are responsible for keeping those linked accounts secure.
3. You are the merchant of record
This is the most important term to understand. When a customer buys from your store, you are the seller and merchant of record for that sale, not Sellup.io.
- Payments are processed through your own connected payment accounts (for example your own Stripe account and any other gateways you enable). Funds flow to you, not to us.
- Sellup.io is not a party to the transaction between you and your customer. We do not take custody of your customers' funds and we do not resell your products.
- You are solely responsible for your products, their delivery, their description and quality, your customer support, your own refunds and disputes, and all taxes (including VAT/sales tax) arising from your sales.
- You must comply with the terms of every payment provider you connect, including the Stripe Services Agreement and Stripe's Restricted Businesses list. Your relationship with Stripe is directly between you and Stripe.
- You must publish and honour your own store policies (terms, privacy and refund policy) for your customers. The Platform gives you editable pages for this purpose.
4. Acceptable use
You may not use the Platform, and may not sell through it, anything that:
- is illegal, stolen, fraudulent, or infringes someone else's intellectual property;
- consists of stolen, leaked or unauthorised accounts, keys, credentials or payment data;
- contains malware, or is designed to damage, disrupt or gain unauthorised access to systems;
- violates the rules or acceptable-use policies of any payment provider you connect;
- facilitates fraud, money laundering, or evasion of a payment provider's controls.
We may remove content, suspend features, rename or take down a store, or terminate an account that breaches this section, with or without notice where the breach is serious or legally required.
5. Your content and data
You keep ownership of the content you upload and the products you sell. You grant us a limited licence to host, store and display that content only as needed to operate the Platform for you. You are responsible for having the rights to everything you upload. Our handling of personal data is described in our Privacy Policy.
6. Premium plans and billing
Premium is an optional upgrade. Current plans:
- Monthly — EUR 9.99 per month, billed monthly.
- Yearly — EUR 99.00 per year, billed annually.
- Lifetime — EUR 249.00, a one-time payment.
Monthly and yearly plans renew automatically for the same period until cancelled. You can cancel any time from your dashboard; cancellation stops the next renewal and you keep Premium access until the end of the period you have already paid for. We may change Premium features or prices; price changes apply from your next renewal and we will give reasonable notice. Premium purchases are subject to our Refund Policy.
7. Availability
We work to keep the Platform available but we do not guarantee uninterrupted or error-free service. We may modify, suspend or discontinue features. Planned and unplanned downtime, maintenance and third-party outages can occur.
8. Suspension and termination
You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or if required by law or by a payment provider. On termination, your right to use the Platform ends; sections that by their nature should survive (such as ownership, disclaimers, and liability) continue to apply.
9. Disclaimers
The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Platform will meet your requirements or that sales, revenue or specific results will follow from using it.
10. Limitation of liability
To the fullest extent permitted by law, Sellup.io is not liable for indirect, incidental, special or consequential damages, lost profits, lost sales, or lost data. Our total liability for any claim relating to the Platform is limited to the amount you paid us for Premium in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including your mandatory consumer rights.
11. Indemnity
You agree to indemnify and hold Sellup.io harmless from claims, losses and costs arising out of your store, your products, your sales to your customers, your breach of these Terms, or your violation of any law or third-party right.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the date above and, where appropriate, notify you. Continued use of the Platform after changes take effect means you accept the updated Terms.
